Terms of Use
AI Excellence & Strategic Intelligence Solutions, LLC (“AXIS AI”)

0. Definitions
For the purposes of these Terms of Use (“Terms”), the following definitions apply:

● “AXIS AI,” “we,” “our,” or “us” refers to AI Excellence & Strategic Intelligence Solutions, LLC, including its affiliates, successors, and assigns.
● “Services” means the Veritas bias detection platform, related applications, websites, interfaces, software, and all other products or services provided by AXIS AI.
● “User,” “you,” or “your” means any individual or entity that accesses or uses the Services.
● “Account” means a registered user account required to access or use certain parts of the Services.
● “User Content” means any data, text, files, documents, reports, or other material that you upload, submit, or otherwise make available through the Services.
● “External Report ID” means the unique identifier generated by AXIS AI and provided to users for reference to specific reports created within the Services.
● “Internal Report ID” means the unique identifier generated by AXIS AI for operational, security, and compliance purposes, which remains part of AXIS AI’s internal service records.
● “Personal Data” means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws (including the EU General Data Protection Regulation (GDPR) and UK GDPR).
● “Free Trial” means temporary access to the Services without charge or at a reduced promotional price, offered at AXIS AI’s discretion.
● “Fees” means the amounts payable by you for access to or use of the Services, including subscriptions, one-time charges, and related costs, but excluding Taxes.
● “Taxes” means all sales, use, value-added, goods and services, withholding, or other taxes, levies, duties, or governmental assessments of any nature, excluding taxes based on AXIS AI’s income.
● “Third-Party Payment Processor” means a third-party entity authorized by AXIS AI (such as Stripe, PayPal, or similar providers) to process payment transactions on our behalf.
● “Applicable Law” means any statute, regulation, ordinance, or rule that applies to your use of the Services, including U.S., EU, UK, or other jurisdictional laws where relevant.
● “Arbitration” means a legally binding process for dispute resolution conducted under the rules of the American Arbitration Association (AAA) or another forum as specified in these Terms.
● “Effective Date” means the date on which these Terms are stated to take effect.

1. Agreement to Terms
By accessing or using the services of AXIS AI, including the Veritas bias detection platform, related applications, websites, and interfaces (collectively, “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not access or use the Services.

2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. User Accounts
● You are responsible for maintaining the confidentiality of your login ID, password, and session credentials.
● You agree not to share your account with others or allow unauthorized access.
● AXIS AI may suspend or terminate accounts that violate these Terms or present security risks.

4. Acceptable Use
You agree not to:
1. Use the Services for any unlawful purpose or in violation of applicable law or regulation.
2. Upload or transmit content that is harmful, infringing, defamatory, obscene, or otherwise objectionable.
3. Attempt to gain unauthorized access to the Services or interfere with their operation.
4. Reverse engineer, decompile, or copy any part of the Services, except as permitted by law.
5. Use the Services to develop competing products or services.

AXIS AI reserves the right to suspend or terminate your access if you engage in prohibited activities.

5. User Content & Reports
● You retain ownership of any content, documents, or files you upload to the Services.
● By uploading, you grant AXIS AI a limited, non-exclusive license to process, analyze, and store such content solely for the purpose of providing Services.
● Data Retention & User Responsibility
● You are solely responsible for the content, documents, or files you upload to the Services, including ensuring that you have the necessary rights to do so. Your
content will remain associated with your account until you delete the content or your account, at which point it will be removed from active systems within a
reasonable period.
● Certain service records (such as anonymized or aggregated report IDs) may be retained for operational, security, or legal compliance purposes. We do not access
or use your content for any purpose other than providing the Services.
● In jurisdictions with applicable data protection laws (including the EU and UK), you may have additional rights, such as requesting erasure, correction, or
portability of your personal data.
● AXIS AI generates External Report IDs (for user reference) and Internal Report IDs (for AXIS AI operations). These remain part of AXIS AI’s service records.

6. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, trademarks, trade names, logos, and content provided by AXIS AI, are owned by AXIS AI or its licensors. You may not copy, reproduce, modify, distribute, or create derivative works without prior written consent.

7. Payment & Subscriptions (if applicable)
● Some Services may require payment or a subscription. By providing payment information, you authorize AXIS AI and its third-party payment processors to charge you for all applicable fees in connection with the Services.
● Payments are processed securely by third-party providers (e.g., Stripe, PayPal). AXIS AI does not store credit card numbers.
● By subscribing, you agree to pay applicable fees and taxes. Subscription Services are billed in advance on a recurring basis (monthly, annually, or as otherwise specified at the time of purchase) until canceled. Unless you cancel prior to the end of the current billing period, your subscription will automatically renew under the same terms, and you authorize us to charge the applicable fees using your saved payment method.
● You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle, and you will retain access until that time. We do not provide pro-rated refunds for unused portions of a billing cycle, except where required by law.
● All fees are non-refundable, except where required by law. If you are a consumer in the EU or UK, you may have a legal right to withdraw from a subscription contract within 14 days of purchase. By accessing or using the Services during that period, you acknowledge and agree that you waive this right to withdraw once the Services have been fully delivered.
● If you are offered a free trial or promotional pricing, you will be charged at the standard subscription rate once the trial or promotional period ends, unless you cancel before that time.
● Fees are exclusive of taxes, levies, duties, or similar governmental assessments. You are responsible for paying any applicable taxes associated with your purchase. Charges may be processed in U.S. dollars or another currency as specified at checkout, and you are responsible for any conversion or bank fees.
● If you are offered a free trial or promotional pricing, you will be charged at the standard subscription rate once the trial or promotional period ends, unless you cancel before that time.
● If payment is declined or reversed, we may suspend or terminate your access to the Services until payment is successfully processed.

8. Disclaimers
● The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
● AXIS AI does not guarantee that reports will be error-free, uninterrupted, or suitable for
every use case.
● The Veritas platform provides bias detection and analysis tools only. AXIS AI does not provide legal, medical, or professional advice, and decisions based on results are the user’s responsibility.

9. Limitation of Liability
To the fullest extent permitted by law:
● AXIS AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or data, arising out of use of the Services.
● AXIS AI’s total liability for any claim shall not exceed the amount you paid to AXIS AI for the Services in the 12 months preceding the claim.

10. Indemnification
You agree to indemnify, defend, and hold harmless AXIS AI, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:
● Your use of the Services,
● Your violation of these Terms, or
● Your uploaded content.

11. Termination
AXIS AI may suspend or terminate your access at any time if you:

● Violate these Terms,
● Engage in unlawful activity,
● Pose a security or operational risk.

Upon termination, your right to use the Services ceases immediately. Certain obligations (intellectual property, disclaimers, limitation of liability) survive termination.

12. Governing Law & Dispute Resolution
● These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
● Any disputes shall first be attempted to be resolved informally. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Delaware.
● Users waive the right to bring class actions; disputes must be brought individually.

13. Changes to Terms
AXIS AI may update these Terms from time to time. We will post the updated Terms with a new Effective Date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
