1. Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of the websites, applications, software, platforms, dashboards, reports, tools, interfaces, and related services provided by AI Excellence & Strategic Intelligence Solutions, LLC (“AXIS AI,” “we,” “our,” or “us”), including the Veritas writing analysis platform and The Prism of Veritas.
By accessing or using the Services, creating an account, submitting content, generating a report, using The Prism of Veritas, starting a free trial, purchasing a subscription, or otherwise interacting with the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Services.
If you use the Services on behalf of an organization, institution, business, school, agency, nonprofit, research group, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and the entity you represent.
2. Definitions
For purposes of these Terms, the following definitions apply:
“AXIS AI,” “we,” “our,” or “us” means AI Excellence & Strategic Intelligence Solutions, LLC, including its affiliates, successors, and assigns.
“Services” means the Veritas writing analysis platform, The Prism of Veritas, related applications, websites, interfaces, dashboards, reports, software, AI-assisted analysis tools, subscription features, customer support services, and all other products or services provided by AXIS AI.
“Veritas” means AXIS AI’s writing analysis platform designed to help users examine patterns in language, framing, reasoning, clarity, structure, communication risk, and related writing characteristics.
“The Prism of Veritas” or “Prism” means a guided follow-up feature that allows eligible users to ask contextual questions about a Veritas report and receive responses related to that report.
“User,” “you,” or “your” means any individual or entity that accesses or uses the Services.
“Account” means a registered user account required to access or use certain parts of the Services.
“User Content” means any data, text, files, documents, images, prompts, questions, reports, comments, feedback, or other material that you upload, submit, paste, type, transmit, or otherwise make available through the Services.
“Report” means an output, analysis, response, recommendation, finding, advisory guidance, or other result generated through the Services.
“AI Output” means any content, response, analysis, finding, recommendation, guidance, summary, classification, or report generated by or through AI-assisted systems used in the Services.
“External Report ID” means the unique identifier generated by AXIS AI and provided to users for reference to a specific report created within the Services.
“Internal Report ID” means the unique identifier generated by AXIS AI for operational, security, auditing, troubleshooting, compliance, and support purposes, which remains part of AXIS AI’s internal service records.
“Personal Data” means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws.
“Workspace” means a shared, organizational, institutional, business, team, or account environment through which multiple users may access or use the Services.
“Organization Administrator” means a person authorized by an organization, institution, business, or team to manage access, users, billing, reports, credits, or other workspace settings.
“Subscription” means paid access to the Services on a recurring basis, such as monthly, annual, or another billing frequency disclosed at checkout.
“Credits” means usage units, allowances, analysis limits, or similar plan-based access units that may be used to access certain features of the Services.
“Free Trial” means temporary access to the Services without charge or at a reduced promotional price, offered at AXIS AI’s discretion.
“Fees” means amounts payable for access to or use of the Services, including subscriptions, one-time charges, usage fees, setup fees, overage fees, and related costs, excluding Taxes unless otherwise stated.
“Taxes” means all sales, use, value-added, goods and services, withholding, or other taxes, levies, duties, or governmental assessments of any nature, excluding taxes based on AXIS AI’s income.
“Third-Party Payment Processor” means a third-party entity authorized by AXIS AI, such as Stripe, PayPal, or similar providers, to process payment transactions on our behalf.
“Applicable Law” means any statute, regulation, ordinance, rule, order, or legal requirement that applies to your use of the Services.
“Arbitration” means a legally binding dispute-resolution process conducted outside of court under the rules stated in these Terms.
“Effective Date” means the date on which these Terms are stated to take effect.
3. Privacy Policy
Our collection, use, processing, storage, disclosure, and protection of personal information are described in our Privacy Policy.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding privacy practices, the Privacy Policy will control for privacy-specific matters.
4. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
The Services are not intended for children. Users under 18 may use the Services only through an authorized school, parent, guardian, institution, or organization where permitted by law and approved by AXIS AI.
By using the Services, you represent and warrant that you meet all eligibility requirements and that your use of the Services does not violate applicable law.
5. Accounts and Security
Certain features of the Services require an Account.
You agree to:

Provide accurate, current, and complete account information;

Maintain and promptly update your account information;

Maintain the confidentiality of your login credentials;
-
Not share your Account with unauthorized users;
-
Notify AXIS AI promptly of suspected unauthorized access or security incidents;
-
Comply with authentication, password, security, and verification requirements;
-
Accept responsibility for all activity occurring under your Account, unless caused by AXIS AI’s breach of these Terms or applicable law.
AXIS AI may require additional verification, authentication, session controls, password resets, or security measures when necessary to protect the Services.
AXIS AI may suspend, restrict, or terminate Accounts that violate these Terms, present security risks, are used fraudulently, are associated with unauthorized access, or create operational risk.
6. Organizational, Institutional, and Workspace Use
If you access the Services through an organization, institution, employer, school, research group, agency, business, nonprofit, or shared Workspace, your use may also be subject to the policies, agreements, permissions, and administrative controls of that organization.
Organization Administrators may be able to:

Invite, remove, or manage users;

Assign roles or permissions;
-
View workspace membership;
-
Manage billing, subscriptions, credits, and usage;
-
Access certain reports, metadata, or workspace activity depending on configuration;
-
Request exports, deletion, suspension, or administrative changes;
-
Enforce internal organization policies.
AXIS AI is not responsible for the internal privacy, employment, academic, compliance, or administrative policies of customer organizations.
Users should contact their organization with questions about internal access, monitoring, report review, workspace administration, or organization-controlled data.
7. Description of Services
Veritas is a writing analysis platform designed to help users examine patterns in language, framing, reasoning, structure, clarity, communication risk, and related writing characteristics.
Veritas may generate structured reports that include Objective Findings, Advisory Guidance, or other report sections depending on the feature, subscription tier, workspace configuration, or product version.
The Services may include, but are not limited to:

Text analysis;

Document upload analysis;
-
Writing pattern review;
-
Report generation;
-
Report storage or export;
-
The Prism of Veritas;
-
Usage credits;
-
Subscription-based access;
-
Workspace or team features;
-
Administrative dashboards;
-
Support tools;
-
Beta, pilot, or experimental features.
AXIS AI may modify, improve, suspend, replace, or discontinue any part of the Services at any time, subject to applicable law and any written agreement with a customer.
8. Veritas Reports and AI Outputs
The Services may use AI-assisted systems to generate Reports, responses, analysis, findings, summaries, recommendations, or guidance.
AI Outputs are provided for informational, educational, editorial, analytical, communication, and decision-support purposes only.
AI Outputs may be incomplete, inaccurate, outdated, overinclusive, underinclusive, context-dependent, or inappropriate for a particular use case.
You are responsible for reviewing, validating, interpreting, and applying any Report or AI Output before relying on it.
AXIS AI does not guarantee that:

Reports will identify every relevant issue;
-
Reports will be error-free;
-
AI Outputs will be complete or accurate;
-
The Services will be suitable for every use case;
-
A Report will produce a particular professional, academic, institutional, legal, or business outcome.
You should not rely on Reports or AI Outputs as the sole basis for important decisions.
9. No Professional Advice
AXIS AI does not provide legal, medical, psychological, clinical, financial, employment, academic disciplinary, compliance, regulatory, investigative, or other regulated professional advice.
The Services do not replace professional judgment, legal counsel, institutional review, human review, academic evaluation, compliance review, clinical evaluation, or professional decision-making.
Users and organizations are solely responsible for decisions made based on, influenced by, or related to the Services.
If you require legal, medical, psychological, financial, academic, compliance, employment, or other professional advice, you should consult an appropriately qualified professional.
10. No Automated Decision-Making Authority
The Services do not make final legal, employment, academic, disciplinary, medical, financial, housing, credit, insurance, criminal justice, eligibility, or other regulated decisions.
Reports and Prism responses are advisory outputs that require human review.
You may not represent Veritas Reports, AI Outputs, or Prism responses as official legal findings, compliance determinations, professional certifications, institutional decisions, disciplinary conclusions, or final authority unless separately authorized in writing by AXIS AI and permitted by law.
Users and organizations remain responsible for any actions, decisions, policies, communications, or outcomes based on use of the Services.
11. The Prism of Veritas
The Prism of Veritas is a guided follow-up feature that allows eligible users to ask questions about a Veritas Report and receive contextual responses related to that Report.
Prism is intended to help users:

Clarify report findings;
-
Understand advisory guidance;
-
Explore language, framing, and reasoning patterns;
-
Apply report guidance more thoughtfully;
-
Better understand writing-related communication concerns.
Prism responses are generated based on available Report context, user-submitted questions, feature limitations, and system settings.
Prism is not intended to provide unrelated general-purpose advice, professional advice, legal conclusions, medical guidance, psychological counseling, compliance determinations, academic grading, employment decisions, or final decision-making authority.
AXIS AI may limit, monitor, suspend, or restrict Prism access based on subscription tier, credit usage, workspace configuration, abuse prevention, security concerns, or operational requirements.
12. User Content and License
You retain ownership of your User Content.
By uploading, submitting, pasting, typing, transmitting, or otherwise providing User Content through the Services, you grant AXIS AI a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, analyze, generate outputs from, display, store, and otherwise use the User Content solely as necessary to:

Provide the Services;
-
Generate Reports;
-
Provide Prism responses;
-
Operate and secure the platform;
-
Troubleshoot technical issues;
-
Provide customer support;
-
Comply with legal obligations;
-
Enforce these Terms;
-
Maintain internal service records as described in these Terms and the Privacy Policy.
This license continues only as long as reasonably necessary to provide the Services, maintain service records, comply with legal obligations, resolve disputes, support security, or as otherwise permitted by the Privacy Policy or applicable agreement.
You represent and warrant that you have all rights, permissions, consents, authorizations, and legal authority necessary to upload, submit, analyze, or otherwise provide User Content through the Services.
You are solely responsible for your User Content and for ensuring that your submission and use of User Content complies with applicable law, contractual obligations, confidentiality obligations, institutional policies, intellectual property rights, privacy rights, and third-party rights.
You should not submit sensitive, confidential, regulated, or third-party information unless you have the authority to do so and the submission is appropriate for your intended use of the Services.
13. User Content Restrictions
You may not upload, submit, paste, transmit, or otherwise provide User Content that:

Violates applicable law;
-
Infringes intellectual property rights;
-
Violates privacy, publicity, confidentiality, contractual, or institutional obligations;
-
Contains malware, viruses, malicious code, or harmful files;
-
Contains unauthorized student records, education records, employment records, medical records, government records, protected information, or third-party personal information;
-
Is defamatory, harassing, abusive, threatening, obscene, exploitative, or otherwise unlawful;
-
Is submitted for purposes of unlawful discrimination, targeting, profiling, harassment, retaliation, or harm;
-
You do not have the right to submit.
AXIS AI may remove, restrict, decline to process, suspend access to, or report User Content when necessary to comply with law, protect the Services, enforce these Terms, address abuse, or mitigate security or operational risk.
14. Model Training and Data Use
AXIS AI does not use User Content to train AXIS AI models unless:

You or the applicable customer provide separate written authorization;

The use is covered by a separate written agreement;
-
The content has been lawfully de-identified or aggregated so that it no longer identifies the user, customer, or organization; or
-
Another legally permitted basis applies.
AXIS AI may use aggregated, de-identified, technical, diagnostic, or usage information to operate, secure, maintain, improve, and evaluate the Services, provided such information does not identify a user or customer.
Third-party AI infrastructure, model providers, API providers, hosting providers, or technical service providers may process User Content solely as necessary to provide the Services to AXIS AI and its users, subject to applicable contractual, technical, and legal safeguards.
15. Data Retention and Service Records
User Content submitted for analysis is processed as necessary to provide the Services.
Depending on your settings, account type, subscription tier, workspace configuration, product feature, and selected options, Reports or related content may be saved to your Account or Workspace.
Uploaded source files, pasted text, or submitted content may be deleted after processing unless:

You choose to save the content or report;
-
The content is retained as part of your Account or Workspace configuration;
-
Temporary technical retention is necessary for troubleshooting, backup integrity, error recovery, system performance, or security;
-
Retention is necessary for legal, billing, tax, compliance, dispute-resolution, fraud-prevention, or operational purposes;
-
A written agreement provides otherwise.
External Report IDs, Internal Report IDs, timestamps, processing metadata, usage records, billing records, security logs, audit logs, and support records may be retained as described in the Privacy Policy.
You may have rights to access, correct, delete, export, or restrict certain personal information as described in the Privacy Policy and applicable law.
16. Acceptable Use
You agree not to use the Services to:

Violate any applicable law, regulation, court order, or legal obligation.

Upload or transmit unlawful, harmful, infringing, defamatory, obscene, abusive, or otherwise objectionable content.
-
Violate privacy rights, confidentiality obligations, intellectual property rights, or contractual obligations.
-
Attempt to gain unauthorized access to the Services, systems, networks, accounts, data, prompts, models, code, or infrastructure.
-
Interfere with, disrupt, overload, damage, or impair the Services.
-
Circumvent rate limits, usage limits, account restrictions, security controls, authentication measures, or access controls.
-
Reverse engineer, decompile, disassemble, copy, scrape, harvest, or extract any part of the Services except as permitted by law.
-
Use bots, crawlers, scrapers, automation, or similar tools without written authorization.
-
Use the Services to develop, train, benchmark, or improve competing products or services without written authorization.
-
Attempt to extract system prompts, hidden instructions, proprietary workflows, model behavior, security controls, or confidential service logic.
-
Upload malware, malicious code, corrupted files, or harmful technical material.
-
Misrepresent AI Outputs as official legal findings, professional certifications, compliance determinations, or final institutional decisions.
-
Use the Services to make unlawful discriminatory, employment, educational, housing, credit, insurance, criminal justice, healthcare, or other regulated decisions.
-
Use the Services to harass, target, profile, exploit, intimidate, retaliate against, or harm any person or group.
-
Resell, sublicense, rent, lease, or commercially exploit the Services without written authorization.
-
Use the Services in any way that creates security, legal, operational, reputational, or technical risk for AXIS AI.
AXIS AI reserves the right to suspend, restrict, or terminate access for prohibited use.
17. Intellectual Property
The Services, including software, algorithms, systems, designs, workflows, templates, prompts, methods, interfaces, reports formats, branding, trademarks, trade names, logos, documentation, and other AXIS AI materials, are owned by AXIS AI or its licensors.
These Terms do not transfer ownership of AXIS AI intellectual property to you.
You may not copy, reproduce, modify, distribute, sell, lease, sublicense, create derivative works from, or exploit any part of the Services without prior written consent from AXIS AI, except as expressly permitted by these Terms or applicable law.
Subject to these Terms, you may use Reports generated from your own User Content for your personal, internal, academic, professional, business, or organizational purposes.
AXIS AI retains all rights in the underlying Services, technology, design, methods, workflows, prompts, templates, and system logic used to generate Reports.
18. Feedback
If you provide feedback, ideas, suggestions, comments, recommendations, bug reports, feature requests, or other input about the Services, you grant AXIS AI a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, distribute, display, perform, commercialize, and otherwise exploit that feedback without compensation, attribution, or obligation to you.
Providing feedback does not give you ownership rights in AXIS AI products, services, features, improvements, or intellectual property.
19. Third-Party Services
The Services may integrate with, link to, or rely on third-party services, including payment processors, cloud providers, hosting providers, AI infrastructure providers, analytics providers, authentication providers, communication providers, support tools, or external websites.
AXIS AI is not responsible for third-party services that it does not control.
Your use of third-party services may be subject to separate terms, privacy policies, fees, restrictions, or data practices.
AXIS AI does not guarantee the availability, security, performance, accuracy, or reliability of third-party services.
20. Subscriptions, Billing, Credits, and Taxes
Some Services may require payment, subscription, credits, setup fees, or usage-based charges.
By purchasing a Subscription or paid Service, you authorize AXIS AI and its Third-Party Payment Processors to charge all applicable Fees, Taxes, and related amounts using your selected payment method.
Before you complete a purchase, AXIS AI will disclose the material subscription terms available at checkout, which may include price, billing frequency, renewal terms, cancellation method, trial terms, promotional terms, credits, usage limits, and applicable plan features.
Subscription Services are billed in advance on a recurring basis, such as monthly, annually, or as otherwise stated at checkout.
Unless you cancel before the end of the current billing period, your Subscription will automatically renew, and you authorize AXIS AI or its Third-Party Payment Processor to charge the applicable Fees and Taxes using your saved payment method.
Credits, usage allowances, analysis limits, upload limits, Prism usage, or other plan-based features may be tied to your Subscription or account type.
Unless otherwise stated:

Credits are not currency;
-
Credits have no cash value;
-
Credits are non-transferable;
-
Credits may expire, reset, or renew according to your plan;
-
Unused credits do not roll over after the billing period;
-
Credits cannot be redeemed for cash;
-
AXIS AI may enforce credit limits, rate limits, usage limits, or feature limits.
AXIS AI may update plan names, features, credits, prices, limits, or billing terms from time to time. Material pricing or subscription changes will be communicated where required by law.
Fees are exclusive of Taxes unless otherwise stated. You are responsible for any applicable Taxes, bank fees, currency conversion fees, or payment-provider charges.
Payments may be processed in U.S. dollars or another currency stated at checkout.
If payment is declined, reversed, charged back, incomplete, disputed, or not received, AXIS AI may suspend, restrict, downgrade, or terminate access to the Services until payment is successfully processed.
21. Free Trials and Promotional Offers
AXIS AI may offer Free Trials, promotional pricing, partner access, beta access, limited-time offers, or discounted Services at its discretion.
Free Trial and promotional terms may vary by offer and may include limits on credits, features, access duration, usage, uploads, reports, Prism access, or subscription conversion.
If a Free Trial or promotional offer requires payment information, you may be charged the standard subscription rate when the trial or promotional period ends unless you cancel before the end of the trial or promotional period.
If a Free Trial does not require payment information, AXIS AI may limit, modify, suspend, or end access when the trial period or trial credits expire.
AXIS AI may determine eligibility for Free Trials or promotions and may restrict abuse, duplicate trial accounts, fraudulent signups, or attempts to bypass trial limits.
Free Trials and promotions have no cash value and may not be transferred, resold, or combined unless AXIS AI allows it.
22. Cancellation and Refunds
You may cancel your Subscription through your account settings or another cancellation method made available by AXIS AI.
Cancellation takes effect at the end of the current billing cycle unless otherwise stated or required by law. You will generally retain access until the end of the current paid period.
AXIS AI does not provide prorated refunds for unused portions of a billing cycle unless required by law or expressly stated in writing.
All Fees are non-refundable except where required by law or expressly stated in a written agreement.
If you are a consumer in the European Union or United Kingdom, you may have a legal right to withdraw from certain online purchases within 14 days. Where permitted by law, by requesting immediate access to digital services or digital content, you acknowledge that the Services may begin immediately and that your withdrawal rights may be limited once the Services have been fully performed or digital content has been delivered.
AXIS AI does not charge early termination fees unless expressly disclosed at checkout and permitted by law.
23. Beta, Pilot, and Experimental Features
AXIS AI may offer beta, pilot, preview, early-access, experimental, or test features.
These features may be incomplete, unstable, limited, unavailable, modified, or discontinued at any time.
Beta or experimental features are provided for evaluation and testing purposes and may be subject to additional terms, restrictions, or confidentiality obligations.
AXIS AI makes no guarantee that beta or experimental features will become generally available.
Use of beta or experimental features is at your own risk.
24. Service Availability and Modifications
AXIS AI may modify, suspend, limit, replace, update, or discontinue any part of the Services at any time.
AXIS AI does not guarantee that the Services will be uninterrupted, error-free, secure, available at all times, or compatible with every device, browser, file, document, system, workflow, or use case.
AXIS AI may perform maintenance, updates, security patches, infrastructure changes, or emergency service interruptions without prior notice when necessary.
AXIS AI is not liable for delays, interruptions, data loss, reduced availability, or service limitations caused by maintenance, third-party providers, internet failures, cyberattacks, force majeure events, user systems, or events beyond AXIS AI’s reasonable control.
25. Disclaimers
To the fullest extent permitted by law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
AXIS AI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.
AXIS AI does not warrant that:

The Services will meet your requirements;
-
Reports will be accurate, complete, or suitable for a particular use;
-
AI Outputs will be error-free;
-
The Services will be uninterrupted or secure;
-
Any defects will be corrected;
-
The Services will comply with every industry-specific standard or institutional requirement;
-
Use of the Services will produce a particular result.
Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.
26. Limitation of Liability
To the fullest extent permitted by law, AXIS AI and its officers, directors, employees, contractors, affiliates, licensors, service providers, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost goodwill, lost data, data corruption, business interruption, reputational harm, or cost of substitute services.
To the fullest extent permitted by law, AXIS AI’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

$100; or
-
The amount you paid to AXIS AI for the Services in the 12 months preceding the claim.
The limitations in this section apply regardless of the legal theory, whether based on contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if AXIS AI has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
Nothing in these Terms limits liability that cannot be limited under applicable law.
27. Indemnification
You agree to indemnify, defend, and hold harmless AXIS AI, its officers, directors, employees, contractors, affiliates, licensors, service providers, and agents from and against any claims, damages, liabilities, losses, costs, expenses, demands, actions, or proceedings, including reasonable attorneys’ fees, arising out of or related to:

Your use or misuse of the Services;

Your User Content;
-
Your violation of these Terms;
-
Your violation of applicable law;
-
Your violation of third-party rights;
-
Your unauthorized submission of third-party content;
-
Your submission of confidential, sensitive, regulated, protected, or restricted information without proper authorization;
-
Your decisions, actions, or omissions based on Reports, AI Outputs, or Prism responses;
-
Your use of the Services in employment, education, compliance, legal, disciplinary, institutional, or regulated contexts;
-
Your fraud, misconduct, negligence, or intentional wrongdoing.
AXIS AI reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with AXIS AI’s defense.
28. Suspension and Termination
AXIS AI may suspend, restrict, downgrade, or terminate your access to the Services if:

You violate these Terms;
-
You fail to pay applicable Fees;
-
Your payment is declined, reversed, disputed, or charged back;
-
You misuse a Free Trial or promotion;
-
You create security, legal, operational, reputational, or technical risk;
-
You engage in fraud, abuse, unauthorized access, or unlawful activity;
-
Your User Content violates these Terms or applicable law;
-
AXIS AI is required to do so by law, court order, legal process, or governmental request;
-
Continued access would harm AXIS AI, other users, or the Services.
Upon termination, your right to access and use the Services ends immediately.
Termination does not relieve you of any payment obligations incurred before termination.
After termination, AXIS AI may retain or delete information as described in the Privacy Policy, these Terms, and applicable law.
Sections relating to intellectual property, feedback, user content licenses necessary for prior operation of the Services, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, privacy-related obligations, and any provisions that by their nature should survive will survive termination.
29. Export Controls and Sanctions

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable comprehensive sanctions, and that you are not listed on any applicable restricted-party list.
You may not use, export, re-export, transfer, or provide access to the Services in violation of applicable export control or sanctions laws.

AXIS AI may remove or restrict content that is alleged to infringe intellectual property rights and may suspend or terminate repeat infringers where appropriate.
31. Force Majeure
AXIS AI will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, cyberattacks, internet failures, cloud-provider outages, payment-processor outages, governmental action, power failures, infrastructure failures, supply-chain issues, or other events beyond AXIS AI’s reasonable control.
32. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory provisions of applicable consumer protection, privacy, data protection, or local law apply.
Nothing in these Terms limits rights that cannot be waived under applicable law.
33. Informal Dispute Resolution
Before filing arbitration or any legal proceeding, you and AXIS AI agree to attempt to resolve disputes informally.
To begin informal dispute resolution, you must contact AXIS AI at:
Your notice should include your name, account email, a description of the dispute, and the relief you seek.
AXIS AI will attempt to resolve the dispute in good faith. If the dispute is not resolved within 30 days after notice is received, either party may proceed with arbitration or another permitted process under these Terms.
34. Arbitration Agreement
Except for disputes that qualify for small claims court or claims seeking emergency injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration.
Arbitration will be administered by the American Arbitration Association under its applicable rules, including consumer arbitration rules where applicable.
Arbitration may be conducted remotely, by written submissions, by telephone, by video conference, or in person as determined by the arbitrator and applicable rules.
Unless otherwise required by law, arbitration will be conducted in Delaware or remotely.
The arbitrator will have authority to award the same individual relief that a court could award, subject to the limitations in these Terms.
Each party will be responsible for arbitration fees as required by the applicable arbitration rules, unless otherwise required by law.
Nothing in this section prevents either party from:

Bringing an individual claim in small claims court where permitted;

Exercising rights that cannot be waived under applicable law.
35. Class-Action Waiver
To the fullest extent permitted by law, you and AXIS AI agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class action, collective action, consolidated action, private attorney general action, or representative proceeding.
The arbitrator may not consolidate claims of multiple users or preside over any class, collective, consolidated, or representative proceeding unless both parties agree in writing.
If this class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request may proceed only to the extent required by law, and the remaining provisions will continue to apply to the fullest extent permitted.
36. Jury Trial Waiver
To the fullest extent permitted by law, you and AXIS AI knowingly and voluntarily waive any right to a trial by jury in any proceeding arising out of or relating to these Terms or the Services.
This waiver does not apply where prohibited by law.
37. Changes to These Terms
AXIS AI may update these Terms from time to time.
If we make material changes, we may provide notice through the Services, by email, by account notice, or by other reasonable means.
Updated Terms will include a revised Effective Date.
Continued use of the Services after updated Terms become effective means you accept the updated Terms.
Material changes will not apply retroactively where prohibited by law.
If you do not agree to updated Terms, you must stop using the Services.
38. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, or removed if modification is not possible.
39. No Waiver
AXIS AI’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by AXIS AI.
40. Assignment
You may not assign or transfer these Terms or your rights or obligations under these Terms without AXIS AI’s prior written consent.
AXIS AI may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or by operation of law.
41. Entire Agreement
These Terms, together with the Privacy Policy, any applicable subscription terms, order forms, written agreements, data processing agreements, workspace agreements, or additional terms expressly incorporated by reference, constitute the entire agreement between you and AXIS AI regarding the Services.
These Terms supersede any prior or contemporaneous agreements, understandings, statements, or communications regarding the Services, except for separate written agreements signed by AXIS AI.
